These Terms govern your use of the OpportuNation ERP platform. By creating an account you agree to them, to the Privacy Policy, and to the Data Processing Agreement.

1. Acceptance of Terms

By registering for, accessing, or using the Platform, you agree to be bound by these Terms, the Privacy Policy, and the Data Processing Agreement. If you do not agree, you must not access or use the Platform.

The individual accepting these Terms on behalf of a Subscriber represents and warrants that they have authority to bind the Subscriber.

2. Licence and Acceptable Use

Subject to compliance with these Terms and payment of applicable Fees, OpportuNation grants a non-exclusive, non-transferable, revocable licence to access and use the Platform during the Subscription Period for your internal business operations. You are responsible for your Authorised Users' compliance.

You must not: sublicence or resell the Platform; copy, reverse engineer, or create derivative works of it; use it unlawfully; attempt to gain unauthorised access to it or to other users' accounts; introduce malicious code; remove proprietary notices; or access or attempt to access Employee Personal Profiles or marketplace activity.

3. Subscription Plans and Fees

OpportuNation offers subscription tiers with differing features, user limits, and pricing as selected during registration. Fees are payable in Nigerian Naira (₦), in advance on a monthly or annual basis, through the Platform's integrated payment system (currently Paystack), exclusive of applicable taxes such as VAT.

We may change Fees on thirty (30) days' notice, effective the next Subscription Period. Where payment remains outstanding fourteen (14) days after the due date we may suspend access, and may charge interest on overdue amounts at 2% per month or the maximum permitted by law, whichever is lower. Fees are non-refundable except where required by applicable consumer-protection law.

4. Service Availability and Support

OpportuNation uses commercially reasonable efforts to maintain 99.5% monthly uptime, excluding scheduled maintenance and Force Majeure Events, and endeavours to give at least twenty-four (24) hours' notice of maintenance that may affect availability. Technical support is available via support@opportunation.io and the Platform's built-in support features during business hours.

5. Subscriber Data and Intellectual Property

You retain all right, title, and interest in your Subscriber Data and grant OpportuNation a licence to host, store, process, and display it solely to provide the services. You are responsible for the accuracy and legality of your data and for obtaining all necessary consents. On termination you may export your data in a machine-readable format within thirty (30) days.

All Intellectual Property Rights in the Platform remain the exclusive property of OpportuNation. Feedback you provide may be used by OpportuNation without restriction or obligation.

6. Confidentiality and Data Protection

Each party will keep the other's Confidential Information confidential, with the usual exceptions for advisers under like obligations, legally required disclosures, and information already public. These obligations survive termination for three (3) years.

Both parties comply with the NDPA. The Subscriber is the Data Controller of Employee Work Profile data and Subscriber Data; OpportuNation is the Data Processor of such data and the Data Controller of Personal Profile and platform operational data. The Data Processing Agreement is incorporated by reference and prevails on data-protection matters in the event of conflict.

7. Warranties and Limitation of Liability

OpportuNation warrants that the Platform will perform materially in accordance with its documentation and that services are provided with reasonable skill and care. Except as expressly stated, the Platform is provided "as is" and "as available" and all other warranties are disclaimed to the maximum extent permitted by law.

Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. OpportuNation's total aggregate liability will not exceed the total Fees paid in the twelve (12) months preceding the event giving rise to the claim. Nothing limits liability for death or personal injury caused by negligence, fraud, wilful misconduct, breach of confidentiality, or any liability that cannot be excluded by law.

8. Term and Termination

These Terms run for the initial Subscription Period and renew automatically unless either party gives at least thirty (30) days' notice of non-renewal. Either party may terminate for an uncured material breach (fourteen (14) days' notice) or on insolvency. OpportuNation may suspend or terminate access for non-payment, security risk, or unlawful use.

On termination your right to use the Platform ceases, you have thirty (30) days to export your data, and Employees' Personal Profiles are unaffected. Provisions on data, IP, confidentiality, data protection, liability, indemnification, governing law, and dispute resolution survive.

9. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first attempt to resolve disputes by good-faith negotiation, then mediation, and finally binding arbitration under the Arbitration and Mediation Act 2023, seated in Lagos, conducted in English. Either party may seek injunctive relief from a competent court to prevent irreparable harm.

10. General and Contact

These Terms, together with the Privacy Policy, the DPA, and any order forms, are the entire agreement between the parties. If any provision is held unenforceable, the remainder continues in effect. OpportuNation may update these Terms and will notify Subscribers by email at least thirty (30) days before material changes take effect; continued use after the effective date constitutes acceptance.
